To meet\n        these requirements, our suppliers must implement a management system,\n        namely a set of policies, procedures, tools, and internal audits that\n        help ensure control of their operations, achieve their objectives, and\n        ensure continuous improvement.\n      \u003C/p>\n\n      \u003Cp>\n        This supplier guide as well as our general terms and conditions of\n        purchase are available on our website:\n        \u003Cspan class=\"emphasis\">www.seac-sas.fr\u003C/span>\n      \u003C/p>\n    \u003C/div>\n\n    \u003Cdiv class=\"article\">\n      \u003Ch2>1. Business Ethics\u003C/h2>\n      \u003Cp>\n        Suppliers must uphold the highest standards of integrity and operate\n        honestly and fairly throughout the supply chain.\n      \u003C/p>\n\n      \u003Cp>\n        Suppliers must implement a business ethics management system that\n        includes the following elements:\n      \u003C/p>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Anti-corruption and anti-money laundering:\u003C/span>\n          suppliers must not participate in or condone corrupt practices in any\n          form, including offering or accepting bribes, gifts or excessive\n          hospitality, or facilitation payments. Suppliers must not facilitate\n          or support money laundering. Suppliers must report any suspicious\n          transactions and be vigilant for signs of money laundering.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Data protection and security:\u003C/span> suppliers\n          must respect privacy and civil liberties with regard to the\n          collection, storage, use, or disclosure, as well as any other\n          processing of personal data.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Financial responsibility / Accuracy of records:\u003C/span>\n          suppliers must conduct their business transactions transparently and\n          accurately reflect them in financial reports and corporate filings.\n          Suppliers must confirm that an adequate financial reporting control\n          system is in place.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Information disclosure:\u003C/span> suppliers must\n          disclose financial and non-financial information in accordance with\n          applicable regulations and industry practices.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Conflicts of interest:\u003C/span> suppliers must\n          ensure that their employees avoid and disclose situations where their\n          financial or other interests conflict with their professional\n          responsibilities or situations giving any appearance of impropriety.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Counterfeit parts:\u003C/span> suppliers must\n          minimize the risk of introducing counterfeit and/or diverted parts and\n          materials into deliverables and comply with relevant technical\n          regulations in the product design process.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Intellectual property:\u003C/span> suppliers must\n          respect intellectual property rights in force.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Export controls, trade and economic sanctions:\u003C/span>\n          suppliers must comply with applicable restrictions on the export or\n          re-export of goods, software, services, and technologies, as well as\n          applicable restrictions on trade involving certain countries, regions,\n          companies or entities, and individuals.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Grievance mechanism:\u003C/span> suppliers must\n          establish an effective grievance mechanism, consistent with UN Guiding\n          Principle 31, that allows concerns related to business ethics, human\n          rights, or any other subject to be raised anonymously, confidentially,\n          and without retaliation.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Remediation:\u003C/span> suppliers must provide for\n          or cooperate in remediation through legitimate processes where their\n          business activities cause or contribute to negative environmental or\n          social impacts.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Non-retaliation:\u003C/span> suppliers must avoid\n          any form of threat, intimidation, and physical or legal attack against\n          stakeholders, including those exercising their legal rights to freedom\n          of expression, association, peaceful assembly, and protest against\n          their business activities.\n        \u003C/p>\n      \u003C/div>\n    \u003C/div>\n\n    \u003Cdiv class=\"article\">\n      \u003Ch2>2. Environment\u003C/h2>\n      \u003Cp>\n        Suppliers must develop, implement, and support a proactive approach to\n        environmental responsibility through environmental protection practices,\n        conservation of natural resources, and reduction of the overall\n        environmental footprint of production, goods, and services throughout\n        their life cycle.\n      \u003C/p>\n\n      \u003Cp>\n        SEAC expects its suppliers to implement a certified environmental\n        management system (e.g., ISO 14001). SEAC expects its suppliers to\n        provide their latest valid certificates. SEAC also recommends that its\n        suppliers systematically review and promote environmental protection\n        activities. Finally, in order to manage the entire supply chain, SEAC\n        recommends that its suppliers advise and guide their upstream suppliers\n        toward an environmental management system.\n      \u003C/p>\n\n      \u003Cp>\n        Suppliers must implement an environmental management system that\n        includes the following elements:\n      \u003C/p>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Carbon neutrality:\u003C/span> suppliers must strive\n          to set science-based and time-bound emission reduction targets, as\n          well as renewable energy targets consistent with the Paris Agreement,\n          and implement measures that advance decarbonization across the entire\n          value chain.\n        \u003C/p>\n\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Promotion of environmental management throughout the life\n            cycle:\u003C/span>\n          It is important to consider the overall environmental impact of our\n          products throughout their lifetime, which is called life cycle\n          assessment (LCA). SEAC's suppliers will play an important role in\n          reducing LCA impacts. SEAC welcomes ideas and suggestions from\n          suppliers regarding part design, material selection, or new\n          manufacturing technologies that will reduce the LCA impact of our\n          products. To promote LCA, SEAC asks its suppliers to implement\n          initiatives to reduce the carbon footprint throughout the life cycle\n          of delivered products.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Water quality, consumption and management:\u003C/span>\n          suppliers must reduce/minimize water consumption, efficiently reuse\n          and recycle water with responsible wastewater discharge treatment, and\n          prevent potential flood impacts from stormwater runoff, as required by\n          and in accordance with applicable law.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Air quality:\u003C/span> suppliers must regularly\n          monitor and disclose, appropriately control, reduce/minimize, and,\n          where possible, eliminate emissions contributing to air pollution, as\n          required by and in accordance with applicable law. Suppliers must\n          assess the cumulative impacts of pollution sources in their facilities\n          and mitigate their pollution levels accordingly.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Responsible chemical management:\u003C/span>\n          suppliers must identify, reduce/minimize, or eliminate the use of\n          regulated substances in manufacturing processes and finished products\n          to ensure regulatory compliance. Companies must also be aware of any\n          use of restricted substances in processes and finished products, and\n          actively seek appropriate substitutes to maintain good product and\n          environmental stewardship.\n        \u003C/p>\n\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">REACH and other chemical regulations:\u003C/span>\n          REACH is a European regulation that came into force in 2007, aimed at\n          ensuring that the manufacture, placing on the market, and use of\n          chemicals do not affect human health and the environment. For SEAC,\n          all substances – alone, in mixtures, or in certain articles – that are\n          produced, imported, or used in total quantities exceeding one ton per\n          year must be classified and registered with ECHA (European Chemicals\n          Agency). SEAC uses IMDS-based material data management globally as a\n          tool to control chemical substances and vehicle recyclability rates.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Circularity:\u003C/span> suppliers must promote\n          closed-loop systems by supporting the use of sustainable and renewable\n          natural resources while reducing waste and increasing reuse and\n          recycling.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Animal welfare:\u003C/span> suppliers must respect\n          the five animal freedoms formalized by the World Organisation for\n          Animal Health (formerly Office International des Épizooties or OIE)\n          concerning animal welfare. No animal shall be raised and killed solely\n          for use in an automotive product.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Biodiversity, land use and deforestation:\u003C/span>\n          suppliers must protect ecosystems, particularly key biodiversity\n          areas, affected by their activities, and avoid illegal deforestation\n          in accordance with international biodiversity regulations, including\n          IUCN resolutions and recommendations on biodiversity.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Soil quality:\u003C/span> where applicable,\n          suppliers must monitor and control their impact on soil quality to\n          prevent erosion, nutrient degradation, subsidence, and soil\n          contamination.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Noise emissions:\u003C/span> where applicable,\n          suppliers must monitor and control industrial noise levels to avoid\n          noise pollution.\n        \u003C/p>\n      \u003C/div>\n    \u003C/div>\n\n    \u003Cdiv class=\"article\">\n      \u003Ch2>3. Human Rights and Working Conditions\u003C/h2>\n      \u003Cp>\n        Suppliers must respect the human rights of workers, local communities,\n        and other affected stakeholders. They must also prevent and address\n        negative human rights impacts related to their business activities, in\n        accordance with the UN Guiding Principles on Business and Human Rights.\n      \u003C/p>\n\n      \u003Cp>\n        Suppliers must implement a human rights and working conditions\n        management system that includes the following elements:\n      \u003C/p>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Child labor and young workers:\u003C/span>\n          suppliers must respect the minimum age for admission to employment in\n          their business activities and throughout their supply chain, in\n          accordance with the ILO Convention on Minimum Age for Admission to\n          Employment, and ensure that child labor is not tolerated in any form.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Wages and benefits:\u003C/span> suppliers must\n          provide their workers with compensation in accordance with applicable\n          regulations and prevailing industry practices, i.e., compensation must\n          be sufficient to cover basic needs and allow a decent standard of\n          living for workers and their families, which implies compliance with\n          minimum wages, overtime compensation, medical leave, and\n          government-mandated benefits.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Working hours:\u003C/span> suppliers must comply\n          with local laws and collective agreements (where applicable) regarding\n          working hours or with ILO standards on working time in the absence of\n          relevant local regulations.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Modern slavery:\u003C/span> suppliers must prohibit\n          all forms of slavery, servitude, or forced labor, including human\n          trafficking.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Ethical recruitment:\u003C/span> suppliers must not\n          mislead or defraud potential workers regarding the nature of the work,\n          require workers to pay recruitment fees, and/or confiscate, destroy,\n          conceal, and/or deny access to workers' passports and other\n          government-issued identity documents. Workers must receive a written\n          contract or employment notice at the beginning of their recruitment in\n          a language they understand well, truthfully and clearly indicating\n          their rights and responsibilities.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Freedom of association and collective bargaining:\u003C/span>\n          suppliers must allow workers to communicate openly with Management\n          regarding working conditions and management practices, without fear of\n          retaliation, intimidation, or harassment. Companies must respect\n          workers' rights to associate freely, to join or not join unions, to\n          bargain collectively, to seek representation, and to join workers'\n          councils.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Non-discrimination and harassment:\u003C/span>\n          suppliers must not tolerate any form of discrimination or harassment\n          in employment and occupation. In addition, they must provide equal\n          employment opportunities regardless of the worker's or candidate's\n          characteristics, such as age, gender, sexual orientation, gender\n          identity, ethnic or national origin, disability, pregnancy, religion,\n          political affiliation, union association, covered veteran status,\n          genetic information, or marital status.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Women's rights:\u003C/span> suppliers must provide\n          equal employment opportunities and commit to ensuring equal pay for\n          equal work.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Diversity, equity and inclusion:\u003C/span>\n          suppliers must develop and promote inclusive cultures where diversity\n          is valued and celebrated, and where everyone is able to contribute\n          fully and reach their full potential. Suppliers must encourage\n          diversity at all levels of their staff and management, including on\n          boards of directors.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Rights of minorities and indigenous peoples:\u003C/span>\n          suppliers must respect the rights of local communities to decent\n          living conditions, education, employment, and social activities, as\n          well as the right to Free, Prior, and Informed Consent (FPIC) for\n          developments affecting them and the lands on which they live, with\n          particular attention to the presence of vulnerable groups.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Land rights and forced eviction:\u003C/span>\n          suppliers must avoid forced eviction and land, forest, and water\n          deprivation when acquiring, developing, or otherwise using land,\n          forests, and waters.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Private or public security forces:\u003C/span>\n          suppliers must not mandate or use private or public security forces to\n          protect their business project if, due to lack of training or control\n          by the company, the deployment of security forces may result in human\n          rights violations.\n        \u003C/p>\n      \u003C/div>\n    \u003C/div>\n\n    \u003Cdiv class=\"article\">\n      \u003Ch2>4. Health and Safety\u003C/h2>\n      \u003Cp>\n        Suppliers must provide workers with a safe and healthy work environment\n        that meets or exceeds applicable local laws and industry standards for\n        occupational safety and health.\n      \u003C/p>\n\n      \u003Cp>\n        Suppliers must implement a management system for a safe and healthy work\n        environment that includes the following elements:\n      \u003C/p>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Workspace:\u003C/span> suppliers must ensure a work\n          environment that meets or exceeds local and national legislation on\n          safety, occupational health, and fire safety, in addition to\n          encouraging remote workers to understand and apply best practices.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Personal protective equipment:\u003C/span>\n          where applicable, suppliers must provide their personnel with\n          necessary personal protective equipment (PPE) and ensure they\n          understand how and when it should be used.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Emergency preparedness:\u003C/span>\n          suppliers must reduce occupational risks and develop an emergency\n          preparedness and response plan.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Incident and accident management:\u003C/span>\n          suppliers must implement hazard and risk analysis systems to\n          minimize/reduce the risk of incidents or accidents in the workplace.\n          An investigation system must determine root cause, and a corrective\n          action system must ensure that all permanent measures have been taken\n          to reduce/minimize the risk of recurrence.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Contractors:\u003C/span> suppliers must properly\n          manage the health and safety of subcontractors within the company's\n          extended supply chain. Suppliers must coordinate their procurement\n          processes to identify hazards and assess and control risks arising\n          from the contractor's business activity with the supplier, and the\n          company's business activity that impacts contractor workers.\n        \u003C/p>\n      \u003C/div>\n    \u003C/div>\n\n    \u003Cdiv class=\"article\">\n      \u003Ch2>5. Responsible Supply Chain Management\u003C/h2>\n      \u003Cp>\n        Suppliers must select business partners that respect responsible\n        business conduct practices and disseminate the guiding principles of\n        this guide throughout the supply chain.\n      \u003C/p>\n\n      \u003Cp>\n        Suppliers must implement a supplier management system that includes the\n        following elements:\n      \u003C/p>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Due diligence:\u003C/span> suppliers must conduct\n          due diligence on their direct suppliers and subcontractors in\n          accordance with OECD Guidelines on Due Diligence for Responsible\n          Business Conduct, promote transparency and traceability, and do their\n          utmost to implement, further down the supply chain, environmental,\n          social, and governance (ESG) criteria as well as, in cascade, the\n          Guiding Principles of this guide.\n        \u003C/p>\n      \u003C/div>\n\n      \u003Cdiv class=\"bullet-point\">\n        \u003Cp>\n          \u003Cspan class=\"emphasis\">Responsible sourcing of raw materials and minerals:\u003C/span>\n          suppliers must responsibly source raw materials and minerals used in\n          their products by developing a management system that promotes supply\n          chain traceability and transparency, and by implementing due diligence\n          measures in accordance with OECD Due Diligence Guidance for\n          Responsible Supply Chains of Minerals from Conflict-Affected and\n          High-Risk Areas.\n        \u003C/p>\n\n        \u003Cp>\n          Suppliers must help SEAC comply with legislative requirements. SEAC\n          requires tier 1 suppliers who use conflict minerals in their supply\n          chain to complete the Conflict Minerals Reporting Template (CMRT)\n          annually for parts and raw
